Terms of Service

1. Access and Retention

Users must have internet access and appropriate equipment to access and use this electronic contract. Users should print or save a copy for their records.

2. Commercial Use of Service

If using the Service on behalf of a company or organization, you represent that you are an authorized representative with authority to bind that entity to these terms.

Prohibited uses include: browsing or downloading illegal content, collecting usernames and/or email addresses of members by electronic or other means for the purpose of sending unsolicited email, unauthorized framing, account sharing, impersonation, fraudulent use, automated scraping, and interfering with website operations.

Pinpress may revoke access permission at any time in its sole discretion.

3. Account Security

Users must maintain confidentiality of their username and password and are fully responsible for all activities under their account. Users must:

• Immediately notify Pinpress of unauthorized access or security breaches
• Ensure they exit their account at each session's end
• Exercise caution when accessing accounts on shared or public computers

Pinpress will not be liable for any loss or damage arising from your failure to comply with this provision.

4. Your Use of the Websites

Users must not:

• Browse or download illegal content
• Copy, capture, or republish content without express permission from Pinpress
• Use content to create competing services
• Employ scraping or automated techniques
• Use bots, scripts, or automated tools for registration, login, or posting
• Alter or remove trademarks, copyrights, or legal notices
• Reverse engineer, decompile, or modify website code
• Upload offensive, abusive, defamatory, obscene, racist, or sexually explicit content
• Upload content violating laws, infringing rights, or containing malware
• Send spam or unsolicited advertising
• Commit or encourage criminal conduct
• Sell or lease website access
• Impersonate others or misrepresent affiliations
• Stalk, exploit, threaten, abuse, or harass users or employees
• Sell or transfer accounts without written approval
• Collect personal data about other users
• Violate or circumvent security measures
• Attempt unauthorized server access
• Scan for vulnerabilities or attempt to breach security

Pinpress may terminate accounts for breaches and may take legal action.

5. Representations and Warranties

Users warrant that:

• Their content is original or they have obtained all necessary rights and permissions
• Their content does not infringe third-party rights
• They have obtained necessary consents from people appearing in their content
• Their content is not unlawful, offensive, defamatory, obscene, or promoting violence
• Their content does not create liability for Pinpress

6. Term

This Agreement remains in effect while users access the Websites and Service. Users may terminate membership by contacting Pinpress via email or the support desk.

Pinpress may terminate membership for any reason by sending notice to the user's provided email address. If Pinpress terminates your membership because you have breached this Agreement, you will not be entitled to any refund of unused subscription fees.

Pinpress is not required to provide advance notice before termination and may be prohibited from disclosing termination reasons. The Agreement remains in effect even after termination.

7. Modifications to Service

Pinpress reserves the right to modify, suspend, or discontinue the Service temporarily or permanently, with or without notice. You agree that Pinpress shall not be liable to you or to any third party for any modification, suspension or discontinuance of the Service.

8. Blocking of IP Addresses

Pinpress may block members from certain IP addresses at any time in its sole discretion to protect service integrity.

9. Content

Pinpress retains all proprietary rights in the Websites and Service. The site contains copyrighted material, trademarks, and proprietary information of Pinpress and its licensors. Except where expressly permitted, users may not copy, modify, publish, transmit, distribute, perform, display, or sell proprietary information.

All content on Pinpress is proprietary. Except where otherwise specified in this Agreement, all Content is the copyrighted material of Pinpress and for Pinpress's Members' use only. Distribution of Content to others is strictly prohibited.

Content other than user-created content belongs to the original uploader and may be protected by copyright, trademark, or other intellectual property rights. Such content may not be downloaded, reproduced, distributed, transmitted, re-uploaded, or exploited except through website features and within parameters set by the uploader or with express written consent.

10. Restrictions on Use of Materials

Users acknowledge that Pinpress contains protected intellectual property, including images, text, and other content protected by copyrights, patents, trademarks, trade secrets, and proprietary rights. These rights are protected in all forms and media.

Users may not modify, publish, transmit, distribute, perform, transfer, sell, create derivative works, or exploit intellectual property in whole or in part. Downloading intellectual property does not grant ownership interest. Modification of the Intellectual Property or use of the Intellectual Property for any other purpose, including use on any other website or networked computer environment, is strictly prohibited unless you receive our prior written consent.

11. Copyright Policy

Pinpress prohibits submission or posting of information that infringes copyright or other intellectual property rights, including privacy and publicity rights.

12. Liability for Content

Users acknowledge that Pinpress stores content at users' direction and request and acts as a passive conduit for uploading, storing, and distributing content. Users are solely responsible for their uploaded content.

Pinpress cannot and does not review the Content created or uploaded by its users, and neither Pinpress nor its subsidiaries, affiliates, successors, assigns, employees, agents, directors, officers, and shareholders has any obligation, and does not undertake or assume any duty, to monitor the Websites for Content that is inappropriate.

Pinpress and its subsidiaries exclude all liability for user-uploaded content, including claims for intellectual property infringement, privacy violations, defamatory or obscene material, or information accuracy. By using the Websites, users irrevocably waive the right to assert any claim with respect to any of the foregoing against Pinpress.

13. Repeat Infringers

Pinpress will suspend or terminate access for users who repeatedly breach the Terms of Service.

Upon receipt of valid third-party notices that user content infringes rights, or if behavior violates the terms, Pinpress sends a written warning. Any user that receives more than two of these warnings is liable to have their access to the Websites terminated forthwith.

Pinpress may suspend or terminate accounts without warning if ordered by court or in appropriate circumstances at its sole discretion. Please note that we do not offer refunds to Members whose accounts are terminated as a result of repeated infringement of these Terms of Service.

14. Limitation of Liability

IN NO EVENT SHALL PINPRESS BE LIABLE FOR ANY DAMAGES WHATSOEVER, WHETHER DIRECT, INDIRECT, GENERAL, SPECIAL, COMPENSATORY, CONSEQUENTIAL, AND/OR INCIDENTAL, ARISING OUT OF OR RELATING TO THE WEBSITES OR SERVICE, OR USE THEREOF.

The website and services are offered "as is" without warranties, express or implied, including merchantability, fitness for particular purpose, title, and non-infringement. Pinpress makes no warranties, express or implied, as to the ownership, accuracy, completeness or adequacy of the Websites' content or that the functionality of the Websites will be uninterrupted or error-free.

UNDER NO CIRCUMSTANCES SHALL PINPRESS, ITS OFFICERS, OWNERS, EMPLOYEES OR AGENTS AND THEIR RESPECTIVE HEIRS, SUCCESSORS AND ASSIGNS BE LIABLE FOR ANY DAMAGES, INCLUDING DIRECT, INCIDENTAL, PUNITIVE, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES THAT DIRECTLY OR INDIRECTLY RESULT FROM USE OF, OR INABILITY TO USE, THE WEBSITES OR SERVICE.

If limitations are deemed unenforceable, liability is limited to monetary damages not exceeding the greater of $500 or amounts paid to Pinpress during the six months prior to the dispute notice.

15. Indemnity by You

Users agree to indemnify and hold harmless Pinpress, its subsidiaries, affiliates, officers, agents, partners, and employees from loss, liability, claims, or demands, including attorneys' fees, arising from:

• User violation of this Agreement or breach thereof
• Third-party claims of copyright or intellectual property infringement arising from user content hosting
• Activity related to user accounts, whether by the user or others accessing the account without Pinpress's negligence

16. Attorney Fees

If Pinpress succeeds in whole or in part in any action related to this Agreement, users are responsible for Pinpress's attorneys' fees and costs.

17. Parental or Guardian Permission

Some website content may not be appropriate for children. CHILDREN UNDER THE AGE OF 17 ARE NOT PERMITTED TO USE THE WEBSITES UNLESS A SUPERVISING PARENT OR GUARDIAN IS PRESENT.

18. Privacy

Website use is governed by Pinpress's Privacy Policy.

19. Jurisdiction and Choice of Law; Dispute Resolution

Disputes arising from the Websites and Service are governed by New York State law without regard to conflict of law provisions. Users expressly consent to exclusive jurisdiction and venue in New York state and federal courts.

Users consent to being sued in these courts and accept service of process outside New York with the same force as in-state service. Users agree to accept service by certified mail return receipt requested. If any terms are unlawful, void, or unenforceable, that part is severable and does not affect remaining provisions.

20. Arbitration Provision / No Class Action

Except where prohibited by law, users agree that disputes, claims, and causes of action arising from the Websites and Service are resolved individually, without class action, exclusively by binding arbitration under American Arbitration Association rules.

Arbitration is conducted under Commercial Arbitration Rules' Expedited Procedures before a single arbitrator, selected by agreement or by independent mediator if parties cannot agree. Parties split arbitration costs.

Awards may be entered in New York courts. Post-arbitration enforcement actions or requests for equitable or injunctive relief are brought exclusively in New York courts.

21. No Third Party Beneficiaries

Except as otherwise expressly provided, there are no third-party beneficiaries to this Agreement.

22. Availability Outside the U.S.

Users accessing Pinpress outside the U.S. do so at their own risk and must comply with local laws. Users acknowledge personal information will be processed in the U.S. and consent to collection and processing consistent with the Agreement and Privacy Policy.

23. Entire Agreement

This Agreement contains the entire agreement between users and Pinpress regarding website and service use.

24. Severability; Waiver

If any provision is found invalid, invalidity does not affect remaining provisions, which remain in full force. No waiver of any term constitutes further or continuing waiver. Pinpress's failure to enforce any term does not waive it or affect Pinpress's ability to enforce it in the future.

25. Headings

Section headings are for reference only and do not affect meaning or interpretation.

26. Subscriptions / Cancellation / Refunds

Access to Pinpress is valid for the full subscription duration (monthly or annual). Users are automatically re-billed according to their chosen cycle until cancellation.

Users must provide 2 days advanced notice to cancel recurring billing. Accounts remain active until current term expiration unless a refund is requested, in which case subscriptions are immediately terminated.

Users may cancel anytime through account settings, by contacting support, or by canceling auto-renewal with their payment provider.

Users dissatisfied with purchases may request refunds for up to 30 days from initial purchase. Refunds will not be given in order to purchase the same subscription plan with a discounted price.

27. Email Communications

By using the website and providing email addresses, users agree to receive communications including updates, newsletters, promotional offers, and account information. We respect your privacy and will not share your email address with third parties for their marketing purposes without your explicit consent.

Users may opt out of certain communications, though this may affect certain feature access. Continued use acknowledges agreement to this policy.
